Who wins?

Assuming Hulk can't just smash Megaton, or Thor fry him with lightning, then it likely depends on the types of rounds carried by the Avengers' jet and possibly by Iron Man's missiles. If they the "SABOT" rounds that Movie Transformers are vulnerable to, then the Avengers should be able to win this. If not, then they'll be relying on Hulk and Thor. And thinking about it, chances are that either of them could beat Megatron should he come down and fight them and not simply transform into a jet and fly away, which might not even work that well with Thor. Captain America, Hawkeye, and Black Widow aren't likely going to be all that useful, save for flying the jet and/or coming up with a battle plan and relaying any of Megatron's tactics, which could turn the tide in a close fight.

Well it seems to me that despite whether or not the Avengers win if the fight is happening in the Avengers U Megatron still dies because the government in the A movie is willing to nuke anything it doesn't think the A can beat. So I give this one to AU hands down.

Hawkeye uses his computer virus arrow to kill Megatron.

First of all, Hawkeye's computer virus is second rate AT BEST. We're not talking Independence Day level viruses here. Megatron is from the planet of Transformers which clearly makes his technology superior. Iron Man could probably hack Megatron so that he transforms into an awesome new Iron Man Mark 23224.232(y/29*x) though and that would be pretty cool to see. Grimlok would still win though.

He's all metal and bits. I don't know, he doesn't look to have some kind of squishy weakness.

Agreed. What would happen if Forge from X-Men were to tinker with an unconscious autobot? Could he potentially upgrade it?
